On November 12, 2019, the Board of Directors of The Bancorp, Inc. (the “Company”), was notified by the Federal Deposit Insurance Corporation that it intends to pursue a civil money penalty (“CMP”) against The Bancorp Bank (the “Bank”) in the amount of $8.6 million. The proposed CMP is based on supervisory findings during the period of 2013 to 2019 related principally to deficiencies in the Bank’s legacy Bank Secrecy Act/Anti-Money Laundering (BSA/AML) Programs and alleged violations of law during the period, as well as the length of time the Bank has taken to fully implement the corrective actions required by the 2014 Consent Order. The Company is evaluating its options on how to respond to the proposed CMP through a consent agreement or a formal administrative proceeding. In the absence of executing a definitive agreement in a lesser amount, the Company expects to recognize a CMP-related expense of $8.6 million in the fourth quarter of 2019.
