Explanation of Responses:

1. Vesting of restricted stock units granted to the Reporting Person on May 25, 2016.

2. Each restricted stock unit represents a contingent right to receive one share of WCG common stock.

3. The restricted stock units vested in full on May 24, 2017. Vested shares are delivered to the Reporting Person upon vest.

4. The restricted stock units vest in full on the earlier of May 24, 2018 and the date of the Registrant's next annual meeting of stockholders. Shares will be delivered to the reporting person upon vest.
