On October 1, 2014, ReachLocal, Inc. filed with the Securities and Exchange Commission, or the SEC, its preliminary Notice of Special Meeting of Stockholders and Proxy Statement for the Special Meeting of Stockholders of the Company (the “Proxy Statement”). The Proxy Statement contains a proposal to be submitted to ReachLocal’s stockholders at a special meeting of stockholders to approve a one-time stock option exchange program for eligible employees.
Also on October 1, 2014, ReachLocal sent an email to its employee option holders notifying them of the proposed option exchange and the special meeting. A copy of the email is attached as Exhibit 99.2.
Neither the Proxy Statement nor the internal email constitutes an offer to holders of ReachLocal’s outstanding stock options to exchange those options. The proposed option exchange will be commenced, if at all, only if ReachLocal’s stockholders approve it.
Theoptionexchange has not yet commenced, and there can be no assurance that it will commence even if it is approved by ReachLocal’s stockholders. ReachLocalwill file a Tender Offer Statement on Schedule TO with the SECif and whentheoptionexchangecommences.Persons whowould be eligible to participate in theoptionexchangeif and when it commences should read the Tender Offer Statement on Schedule TO and other related materials if and when those materials become available, because those materials would contain important information about theoptionexchange.
