Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On July 19, 2007 the Airbee Board of Directors appointed James H. Dentzer Vice President and Chief Accounting Officer at a salary of $110,000 per annum. All other terms of his employment agreement remain without change. Mr. Dentzer reports to Charles Gunderson, Chief Operating Officer.
Item 8.01 Other Events.
On July 10, 2007, the Company retroactively issued 2,000,000 restricted shares to Allen & Associates, LLC which should have been issued on March 16, 2007 as compensation for financial and investment banking services. The shares were issued in payment of such services as part of a consulting agreement between Airbee Wireless and Allen & Associates. The securities were issued pursuant to the exemption from registration provided by Section 4(2) of the Securities Act and contain the appropriate legends restricting their transferability absent registration or applicable exemption. As of July 19, 2007, the number of outstanding shares was 100,991,949.
