(collectively, the “Registrants”) hereby withdraw the request for acceleration contained in their letter dated February 2, 2016 and, in accordance with Rule 461 under the Securities Act of 1933, as amended, request that the effective date of the above referenced Registration Statement (the “Registration Statement”) be accelerated so that the Registration Statement, as amended, may become effective at 2:00 p.m., Washington, D.C. time on February 5, 2016 or as soon thereafter as practicable.
In connection with this request for acceleration of the effective date of the Registration Statement, the Registrants acknowledge the following:
| • | should the Securities and Exchange Commission (the “Commission”) or the staff of the Commission (the “Staff”), acting pursuant to delegated authority, declare the filing effective, it does not foreclose the Commission from taking any action with respect to the filing; |
| • | the action of the Commission or the Staff, acting pursuant to delegated authority, in declaring the filing effective, does not relieve the Registrants from their full responsibility for the adequacy and accuracy of the disclosure in the filing; and |
