Explanation of Responses:

1. Each director of Knight Transportation, Inc. ("Knight") that is not employed by Knight will receive an annual grant of shares of Knight common stock, as a portion of his/her director compensation. The Knight stock will be granted once a year at or near the annual meeting of the Board of Directors/shareholders. The price per share shall be based upon the closing market price for such shares as of the date of the grant. The plan, pursuant to which the grant was made, was approved by the Shareholders.
