(d) On January 19, 2005, the board of directors of Calamos Asset Management, Inc. appointed Richard W. Gilbert and G. Bradford Bulkley as independent directors. Messrs. Gilbert and Bulkley were each appointed to the Audit Committee, Compensation Committee and the Nominating and Corporate Governance Committee.
