Item 8.01. Other Events.
On January 27, 2009, Calamos Asset Management, Inc. reported results for the three and twelve months ended December 31, 2008, which included diluted losses per share of $1.24 and $1.19, respectively. The diluted losses per share (a) assumed that Calamos Family Partners, Inc. and John P. Calamos, Sr. exchanged all of their membership units in Calamos Holdings LLC for shares of the Company’s Class A common stock on a one-for-one basis and (b) included the effect of outstanding restricted stock unit and option awards. While the original presentation accurately reflected the economic impact of these potentially dilutive securities, their impact was anti-dilutive and U.S. generally accepted accounting principles (GAAP) preclude the inclusion of anti-dilutive shares when calculating diluted per share results. In accordance with GAAP, dilutive losses per share equal basic losses per share of $1.34 and $1.24 for the three and twelve months ended December 31, 2008, respectively.
