Explanation of Responses:

1. One third (1/3rd) of the shares subject to the option shall vest and become exercisable on the one (1) year anniversary of June 24, 2016 (the "Vesting Commencement Date") and, thereafter, one third (1/3rd) of the shares subject to the option shall vest and become exercisable on the second (2nd) anniversary of the Vesting Commencement Date, and one third (1/3rd) of the shares subject to the option shall vest and become exercisable on the third (3rd) anniversary of the Vesting Commencement Date, subject to the Reporting Person continuing to be a service provider on each such date.
