Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
On November 21, 2013, ECOtality, Inc. (the “Company”) received a letter from The NASDAQ Stock Market LLC (“NASDAQ”) Hearings Coordinator that notified the Company that NASDAQ, pursuant to its obligations under NASDAQ Listing Rule 5830 and Rule 12d2-2 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), will issue a press release on November 26, 2013, announcing that NASDAQ will file a Form 25 with the Securities and Exchange Commission (the “SEC”) to delist the Company’s common stock. The delisting becomes effective ten days after the Form 25 is filed with the SEC and, upon such effectiveness, the Company’s common stock will be removed from listing and registration on the NASDAQ Stock Market. Trading of Company’s common stock was suspended on September 27, 2013, and has not traded on NASDAQ since that time.
Item 7.01 Regulation FD Disclosure.
On November 27, 2013, the Company filed its Monthly Operating Reports for each of September and October 2013 with the Bankruptcy Court (as defined below). A copy of the Monthly Operating Reports are furnished as Exhibits 99.1 – 99.12 to this Current Report on Form 8-K. The information contained in Item 7.01 of this Current Report (including Exhibits 99.1 – 99.12) shall be deemed furnished, not filed, for purposes of Section 18 of the Exchange Act, and shall not otherwise be subject to the liabilities of that section.
Item 8.01 Other Events.
As previously disclosed, on September 16, 2013, the Company and its U.S. subsidiaries each filed a voluntary petition for relief (the “Bankruptcy Filing”) under chapter 11 of title 11 of the United States Code in the United States Bankruptcy Court for the District of Arizona (the “Bankruptcy Court”), and the Company ceased filing with the SEC reports on Forms 10-Q and 10-K so that the Company's limited resources can be focused on completing the bankruptcy process. At this time, the Company intends to instead file the monthly operating reports that it files with the Bankruptcy Court (the “Monthly Operating Reports”) as exhibits to Current Reports on Form 8-K.
