Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
On February 22, 2007, David J. Beatty resigned from the board of directors of MHI Hospitality Corporation effective immediately. Mr. Beatty served as a member of the audit committee of the board of directors, as well as its nominating, corporate governance and compensation committee. Director Anthony C. Zinni has replaced Mr. Beatty as member of the audit committee.
