Item 1.01Entry into a Material Definitive Agreement.
On November 3, 2016, affiliates of Sotherly Hotels Inc. (the “Company”), the sole general partner of Sotherly Hotels LP (the “Operating Partnership”), entered into a Sixth Amendment to Commitment Letter and other loan documents (collectively, the “Loan Documents”) to modify and extend the $2.6 million mortgage (the “Mortgage Loan”) on the Crowne Plaza Hampton Marina (the “Hotel”) with TowneBank (the “Lender”).
Pursuant to the Loan Documents:
| • | the interest rate applicable to the Mortgage Loan will remain fixed at 5.00% per annum; |
| • | the maturity date is extended to November 1, 2019; and |
| • | beginning on December 1, 2016, the Company will be required to pay Lender monthly principal payments of $15,366.67 plus accrued unpaid interest; and |
| • | the Mortgage Loan will continue to be guaranteed by the Operating Partnership. |
