Item 1.01 | Entry into a Material Definitive Agreement. |
On February 26, 2018, affiliates of Sotherly Hotels Inc. (the “Company”), the sole general partner of Sotherly Hotels LP (the “Operating Partnership”), entered into a first amendment to loan agreement, amended and restated promissory note, and other related documents with International Bank of Commerce to amend the terms of the mortgage loan on The Whitehall hotel located in Houston, TX.
Pursuant to the amended loan documents:
| • | the maturity date is extended until February 26, 2023; |
| • | the loan amortizes on a 25-year schedule with payments of principal and interest beginning immediately; |
| • | the loan has an initial principal balance of $15.0 million, with no additional principal available. |
The other material terms of the original loan documents, including the following, were not amended and remain in effect:
| • | the loan carries a floating interest rate of the 30-day LIBOR plus 3.5%, subject to a floor rate of 4.0%; |
| • | the loan is subject to a prepayment fees; and |
| • | the loan is guaranteed by Sotherly Hotels LP. |
