Item 2.01 Completion of Acquisition or Disposition of Assets.
On March 5, 2018, Sotherly Hotels Inc., a Maryland corporation (the “Company”) and the sole general partner of Sotherly Hotels LP, a Delaware limited partnership, filed a Current Report on Form 8-K (the “Initial Form 8-K”) to disclose that, on March 1, 2018, the Company completed the acquisition of the 318-room Hyatt Centric Arlington hotel located in Arlington, Virginia (the “Hotel”) from a third party seller, RP/HH Rosslyn Hotel Owner, LP (the “Arlington Acquisition”). In that Initial Form 8-K, the Company indicated that the financial statements required by Item 9.01(a) of Form 8-K and the pro forma financial information required by Item 9.01(b) of Form 8-K would be filed by amendment within 71 days after the date on which the Initial Form 8-K was required to be filed.
Upon further analysis following completion of the Arlington Acquisition, however, the Company and the Operating Partnership have determined that such financial statements and pro forma financial information of the Hotel are not required to be filed pursuant to Item 9.01 of Form 8-K and Rule 3-05(b) of Regulation S-X.
Accordingly, the Company hereby amends the Initial Form 8-K to eliminate the references to the subsequent filing of financial statements and pro forma financial information relating to the Arlington Acquisition.

The disclosure contained in Item 9.01(a) and Item 9.01(b) of the Form 8-K is hereby deleted in its entirety.
