On May 22, 2012, Valley Commerce Bancorp announced a cash dividend of four cents per common share. The public announcement was made at the 2012 Annual Meeting of Shareholders held the evening of May 22, 2012 and by means of a news release issued on May 23, 2012, the text of which is set forth in Exhibit 99.1 attached hereto.
