Santander Finance Preferred S.A. Unipersonal (the "Company") and Banco Santander Central Hispano, S.A. (the "Bank"), filed with the Securities and Exchange Commission (the "Commission") on September 20, 2004 a Registration Statement on Form F-4 (Registration No. 333-119132) (the "Registration Statement") relating to the Company's Non-Cumulative Guaranteed Preferred Securities, Series 1, as guaranteed by the Bank.
