Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
On January 6, 2006, Andrew W. Code informed American Reprographics Company that he has resigned as a director of American Reprographics Company effective as of January 20, 2006. This resignation was not, to the knowledge of any executive officer of the Company, because of a disagreement on any matter relating to the Company’s operations, policies or practices. A copy of the resignation letter received from Mr. Code is filed herewith as Exhibit 10.1
