Raising additional capital, including as a result of this offering, may cause dilution to our stockholders, restrict our operations or require us to relinquish rights to our product candidates.
Until such time, if ever, as we can generate substantial revenue from the sale of our product candidates, we expect to finance our cash needs through a combination of equity offerings, debt financings and license and development agreements. We do not currently have any committed external source of funds. In particular, we will need additional capital to fund any significant pivotal clinical trials we may undertake for our product candidates and, prior to commercializing any of our products, to support building a commercial infrastructure. To the extent that we raise additional capital through the sale of equity securities, including from this offering, or convertible debt securities, your ownership interest will be diluted, and the terms of these securities may include liquidation or other preferences that adversely affect your rights as a common stockholder. After this offering, our executive officers, directors and certain affiliated holders, if they choose to act together, will continue to have the ability to significantly influence all matters submitted to stockholders for approval.
Upon the completion of this offering, based on shares outstanding as of June 30, 2017, our executive officers, directors and certain affiliated holders will beneficially own, in the aggregate, shares representing approximately 41.5% of our common stock, assuming no exercise by the underwriter of its option to purchase additional shares and no exercise of options and warrants outstanding as of June 30, 2017. As a result, following this offering, if these stockholders were to choose to act together, they would be able to significantly influence all matters submitted to our stockholders for approval, as well as our management and affairs. For example, these persons, if they choose to act together, would significantly influence the election of directors and approval of any merger, consolidation or sale of all or substantially all of our assets. This concentration of ownership control may delay, defer or prevent a change in control of our company, entrench our management and board of directors, or impede a merger, consolidation, takeover or other business combination involving us that other stockholders may desire.
