| Overview Goals:Recapitalize HLND in a manner which allows HLND to avoid a covenant default under its revolving credit facility.Transaction should avoid triggering a “change of control” to enable HLND to keep its current revolver terms.Permit existing unitholders to maintain ownership and, at their option, to participate in the equity recapitalization on a non-dilutive basis.
