Explanation of Responses:

1. Shares of Class A Common Stock of Cognizant Technology Solutions Corporation (the "Company") received from the vesting of 1/12th of the restricted stock unit ("RSU") award granted on September 1, 2020.

2. Each RSU represents a contingent right to receive one share of the Company's Class A Common Stock.

3. Represents the number of shares of the Company's Class A Common Stock withheld to pay applicable taxes.

4. Shares of Class A Common Stock of the Company received from the vesting of 1/6th of the restricted stock unit award granted on September 1, 2020.

5. The RSUs were granted on September 1, 2020 under the Cognizant Technology Solutions Corporation 2017 Incentive Award Plan and will vest in quarterly installments over three years, commencing on December 1, 2020, with 1/12th of the RSUs vesting on each quarterly vesting date so that the RSUs will be fully vested on the twelfth quarterly vesting date. The RSUs will be fully vested on September 1, 2023.

6. The RSUs were granted on September 1, 2020 under the Cognizant Technology Solutions Corporation 2017 Incentive Award Plan and will vest in ten successive quarterly installments, commencing on December 1, 2020, with (i) 1/6th of the RSUs vesting on each of the first two vesting dates; (ii) 2/3rds of 1/6th of the RSUs vesting on each of the four successive vesting dates; (iii) 1/3rd of 1/6th of the RSUs vesting on each of the next three successive vesting dates; and (iv) the remainder of the RSUs vesting on the tenth vesting date. The RSUs will be fully vested on March 1, 2023.
