Explanation of Responses:

1. Time-based restricted stock units ("RSUs") granted pursuant to the Company's 2009 Global Incentive Plan. Each RSU represents the right to receive one share of Series A Common Stock. The RSUs will vest, subject to continued employment, with respect to 33% of the RSUs on each of February 15, 2019 and February 15, 2020, and with respect to 34% of the RSUs on February 15, 2021.
