Explanation of Responses:

1. Time-based restricted stock units ("RSUs") granted pursuant to the Company's 2018 Global Incentive Plan. Each RSU represents the right to receive one share of Common Stock. The RSUs will vest, subject to continued employment, with respect to 33% of the RSUs on each of February 15, 2022 and February 15, 2023, and with respect to 34% of the RSUs on February 15, 2024.
