On April 28, 2006 the Company and Pursuit Capital, LLC, (“Pursuit”) entered into Amendment No. 1 to that certain Security Agreement dated November 8, 2005 in which Pursuit agreed to exclude, as collateral, all the capital Stock of Bay Capital Corp. should the pending stock purchase agreement, (“the transaction”) between the Company and Bay Capital Corp. close.
