Explanation of Responses:

1. The reporting person is a participant in the issuer's Amended and Restated 2011 Employee Stock Incentive Plan, as amended from time to time. Represents a fully vested restricted stock award granted as of June 30, 2017 for services by the reporting person as a member of the board of directors. The award is governed under a Restricted Stock Award Agreement dated July 7, 2017. All numbers give effect to the 1-for-15 reverse stock split of the issuer's issued and outstanding shares of common stock effected on March 1, 2017.
