Explanation of Responses:

1. Each Restricted Stock Unit ("RSU") represented a contingent right to receive one share of the Issuer's common stock pursuant to the InvenTrust Properties Corp. 2015 Incentive Award Plan. The RSUs vested on December 15, 2015, the date of the Issuer's 2015 annual meeting of stockholders, and are to be settled 75% in shares of the Issuer's common stock and 25% in cash within 60 days after the vesting date.
