Item 7.01. Regulation FD Disclosure.
On January 29, 2014, Inland American Real Estate Trust, Inc., a Maryland corporation, (the “Company”) mailed a letter to its stockholders disclosing that its board of directors voted to suspend the Company’s Second Amended and Restated Share Repurchase Program (the “SRP”) until further notice, effective February 28, 2014. The full text of the letter is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference into this Item 7.01.
The information in this Item 7.01 disclosure, including Exhibit 99.1, is being furnished and shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities under that Section. Item 8.01. Other Events.
On January 29, 2014, the Company announced that its board of directors had voted to suspend the SRP until further notice. Pursuant to the terms of the SRP, the suspension will not go into effect until February 28, 2014. The Company anticipates reinstating the SRP later in the year.
