Item 8.01 Other Events.
On January 3, 2007, Visant Corporation (the “Company”) announced the execution of a definitive Stock Purchase Agreement by and among Visant Holding Corp., the Company and R.R. Donnelley & Sons Company, providing for the sale of Von Hoffmann Holdings Inc., Von Hoffmann Corporation and Anthology, Inc., subsidiaries of the Company, to R.R. Donnelley & Sons Company. The Company is retaining its The Lehigh Press, Inc. and Precision Offset Printing Company subsidiaries.
A copy of a joint press release announcing the entry into the Stock Purchase Agreement is attached hereto as Exhibit 99.1 and incorporated by reference herein.
