On February 9, 2011, News Corporation, a Delaware corporation, (the "Company") issued a press release announcing that News America Incorporated, a subsidiary of the Company, had priced $1 billion of 4.50% Senior Notes due February 15, 2021 and $1.5 billion of 6.15% Senior Notes due February 15, 2041.A copy of the press release issued by the Company is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
