1. The Reporting Person disclaims beneficial ownership of the securities reported herein for purposes of Rule 16a- 1(a) under the Securities Exchange Act of 1934, as amended (the "Exchange Act"), except to the extent of his pecuniary interest therein, if any. The original Form 4, filed on July 25, 2017 (the "Original Form 4), is being amended to delete the following incorrect statement that was contained in footnote 1 of the Original Form 4: "The Reporting Person is contractually obligated to turn over any proceeds from the sale of these shares to Element II G.P., LLC ("GP LLC") and/or certain entities affiliated with GP LLC."
