Item 1.01. Entry into a Material Agreement
On July 29, 2020, WEX Inc. (the “Company”) entered into the Tenth Amendment (the “Tenth Amendment”) to the Credit Agreement, dated as of July 1, 2016, among the Company, the subsidiaries of the Company identified therein, Bank of America, N.A., as administrative agent, and the lenders party thereto, as amended by the First Amendment to Credit Agreement dated July 3, 2017, the Second Amendment to Credit Agreement dated October 30, 2017, the Third Amendment to Credit Agreement dated January 17, 2018, the Fourth Amendment to Credit Agreement dated August 24, 2018, the Fifth Amendment to the Credit Agreement dated January 18, 2019, the Consent and Amendment dated February 27, 2019, the Sixth Amendment to the Credit Agreement dated May 17, 2019, the Seventh Amendment to Credit Agreement dated November 19, 2019, the Eighth Amendment to Credit Agreement dated February 10, 2020 and the Ninth Amendment to Credit Agreement dated June 26, 2020 (the “Original Credit Agreement”). The Tenth Amendment increases commitments under the Company’s revolving credit facility from $820,000,000 to $870,000,000.
In connection with the execution of the Tenth Amendment, the Company paid certain customary fees and expenses of Mizuho Bank, Ltd. in its capacity as the incremental revolving loan lender under the Tenth Amendment and certain customary expenses of Bank of America, N.A. in its capacity as administrative agent.
