Item 8.01 Other Events.
On February 11, 2021, WEX Inc. (the ”Company”) issued a press release announcing that it has elected to redeem for cash all of its $400,000,000 aggregate principal amount of 4.750% Senior Notes due 2023 (the “Notes”) in accordance with the terms of the indenture governing the Notes. The redemption date for the Notes will be March 15, 2021 (the “Redemption Date”). The Notes will be redeemed at a redemption price equal to 100% of the principal amount of the Notes to be redeemed, plus accrued and unpaid interest thereon, if any, to, but excluding, the Redemption Date. A copy of the press release is filed as Exhibit 99.1 hereto and is incorporated herein by reference.
Also on February 11, 2021, the Company issued a press release announcing its entry into an agreement to acquire certain health savings account assets of HealthcareBank, a division of Bell Bank. A copy of the press release is filed as Exhibit 99.2 hereto and is incorporated herein by reference.
