On August 22, 2007, the Company received the resignation of Mr. Howard Bouch as the Company's Chief Financial Officer and as a Director of the Corporation. Mr. Bouch has had no disagreements with the registrant on any matter relating to the registrant's operations, policies or practices. A copy of the disclosures made in this report on Form 8K have been provided to Mr. Bouch no later than the date of filing this report with the Securities and Exchange Commission.
