Description of Proposal 1
At the Annual Meeting, shareholders of Virtus Global Multi-Sector Income Fund will be asked to elect William R. Moyer and James M. Oates as Class II Trustees, to serve for a term of three years, or until their successors have been duly elected and qualified.
Background
The Board of Trustees is responsible for the overall management of the Fund, including general supervision and review of the Fund’s operations. The Board, in turn, elects the officers of the Fund who are responsible for administering the Fund’s day-to-day affairs. Among other things, the Board generally oversees the portfolio management of the Fund and reviews and approves the Fund’s advisory and subadvisory contracts and other principal contracts. Trustees of the Fund are divided into three classes, and are elected to serve staggered terms. Each year, the term of office of one class expires.
Effect of the Approval of Proposal 1
If Proposal 1 is approved, Mr. Moyer and Mr. Oates would be elected as Trustees, effective as of the Annual Meeting, and would continue to serve on the Board as Class II Trustees, to serve for a term of three years, or until their successors have been duly elected and qualified.
