As of the close of business on March 21, 2014, (i) BVF beneficially owned 1,979,670 shares of Common Stock, which included 1,064,270 shares of issued and outstanding Common Stock, plus an additional 915,400 shares of Common Stock issuable upon conversion of the Series F Convertible Preferred Stock (the “Preferred Stock”) issued by Regado Biosciences, Inc. (the “Company”), (ii) BVF2 beneficially owned 1,121,221 shares of Common Stock, which included 594,821 shares of issued and outstanding Common Stock, plus an additional 526,400 shares of Common Stock issuable upon conversion of Preferred Stock, and (iii) ILL10 beneficially owned 558,200 shares of Common Stock, which consists of 558,200 shares of Common Stock issuable upon conversion of the Preferred Stock. The Preferred Stock is convertible into Common Stock, except to the extent that the holder would, upon conversion, beneficially own more than 9.99% of the issued and outstanding Common Stock, after giving effect to such conversion (the “Beneficial Ownership Conversion Limit”).
Partners, as the general partner of BVF and BVF2 and the investment adviser of ILL10 may be deemed to beneficially own 2,330,393 shares of Common Stock beneficially owned in the aggregate by BVF, BVF2 and ILL10, which includes 1,659,091 shares of issued and outstanding common stock, plus up to 671,302 shares of Common Stock issuable upon conversion of the Preferred Stock, which gives effect to the Beneficial Ownership Conversion Limit.
BVF Inc., as the general partner of Partners, may be deemed to beneficially own the 2,330,393 shares of Common Stock beneficially owned by Partners.
Mr. Lampert, as a director and officer of BVF Inc., may be deemed to beneficially own the 2,330,393 shares of Common Stock beneficially owned by BVF Inc.
The foregoing should not be construed in and of itself as an admission by any Reporting Person as to beneficial ownership of any shares of Common Stock owned by another Reporting Person. Each of Partners, BVF Inc. and Mr. Lampert disclaims beneficial ownership of the shares of Common Stock beneficially owned by BVF, BVF2 and ILL10 and the filing of this statement shall not be construed as an admission that any such person or entity is the beneficial owner of any such securities.
The following percentages are based on 23,237,266 shares of Common Stock outstanding as of the date hereof, as disclosed in the Issuer’s Quarterly Report on Form 10-Q filed with the Securities and Exchange Commission (the “SEC”) on November 8, 2013 and supplemented by information provided by the Issuer and contained in the Issuer’s Current Reports on Form 8-K filed with the SEC on January 31, 2014 and March 21, 2014, which gives effect to the exchange of 2,000,000 shares of Common Stock for a total of 10,000 shares of Preferred Stock.
As of the close of business on the date hereof, (i) BVF beneficially owned approximately 7.5% of the outstanding shares of Common Stock, (ii) BVF2 beneficially owned approximately 4.3% of the outstanding shares of Common Stock, (iii) ILL10 beneficially owned approximately 2.2% of the outstanding shares of Common Stock, and (iv) each of Partners, BVF Inc. and Mr. Lampert may be deemed to beneficially own approximately 9.99% of the outstanding shares of Common Stock.
