EXPLANATORY NOTE
On April 14, 2008 we filed a Current Report on Form 8-K (the “Initial Report”) to report, among other things, the closing of our acquisition of Margrit Enterprises International, Inc., a California corporation (“MEI”) on April 7, 2008. On June 23, 2008, we filed our Current Report on Form 8-K/A (the “Amendment”), which amended and supplemented the Initial Report to include the financial statements required by Item 9.01, with the exception of the unaudited pro forma balance sheet, related statement of operations, statement of stockholders’ equity (deficit) and statement of cash flows of Marani Brands, Inc., for the year ended June 30, 2007.
This amended Form 8-K/A amends and supplements our June 23, 2008 Current Report on Form 8-K to include the pro forma financial statements required by Item 9.01
