2. Shares are held by the Eric I. Richman Living Trust (the "Trust"), of which the Reporting Person is a trustee. The Reporting Person disclaims beneficial ownership of the shares held by the Trust except to the extent of his proportionate pecuniary iinterest therein.

3. The RSUs vested fully on September 20, 2023.
