Item 2.02. Results of Operations and Financial Condition.

On November 6, 2018, EyePoint Pharmaceuticals, Inc. (the “Company”) issued a press release announcing its fiscal first quarter ended September 30, 2018 results and certain other information. A copy of the press release is furnished as Exhibit 99.1 hereto.

Item 5.03. Amendments to Articles of Incorporation orBy-laws; Change in Fiscal Year.

On November 1, 2018, the Board of Directors of the Company (the “Board”) approved an amendment (the“By-laws Amendment”) to theBy-laws of the Company (the“By-laws”) to change the Company’s fiscalyear-end from June 30 to December 31 of each year, effective immediately. TheBy-laws Amendment also amended Section 2.1 of theBy-laws to change the date of the annual meeting of stockholders from the second Thursday in November in each year to a date as may be determined by the Board and stated in the notice of the annual meeting.

A copy of theBy-laws Amendment is attached hereto as Exhibit 3.1 and incorporated herein by reference.
