Explanation of Responses:

1. Includes 9,932 restricted stock units issued pursuant to the Invacare Corporation 2013 Equity Compensation Plan. 4,254 of these restricted stock units vest in full on May 15, 2018 after a three-year "cliff" vesting period and 5,678 of these restricted stock units vest in full on May 15, 2017.

2. Owned by the Reporting Person's Rollover IRA

4. The reporting person holds previously reported options to buy 7,858 Common Shares (with tandem tax withholding rights) under the Invacare Corporation 2003 Performance Plan, granted in reliance upon the exemption provided by Rule 16b-3. All options were granted on February 12, 2009, at an exercise price of $19.09 per share, will expire on February 12, 2019, and became exercisable between March 31, 2010 and March 31, 2013.
