Item 8.01 OTHER EVENTS
On June 15, 2007, Spark Networks plc issued a press release announcing that its shareholders have a approved a plan to establish the Company as a subsidiary of Spark Networks, Inc., a corporation incorporated in Delaware. The proposed Delaware reorganization of the Company will be effected by way of a Scheme of Arrangement under U.K. law. The proposal is subject to U.K. court approval.
