1. All numbers give effect to the 1:9 reverse stock split effected by the Company on May 11, 2017.

2. This option represents a right to purchase a total of 5,363 shares of the Issuer's Common Stock one quarter of which became fully vested and exercisable on December 30, 2016, with the remaining 4,022.25 shares vesting in equal quarterly installments over the following three years.
