Explanation of Responses:

1. Represents the number of shares subject to restricted stock units ("RSUs") that were granted on March 9, 2023.

2. The RSUs will vest in full upon the earlier of March 9, 2024 or the next annual meeting of stockholders, subject to the continuing service of the Reporting Person on the vesting date. Vested shares will be delivered to the Reporting Person following the Reporting Person's separation of service.

3. Each RSU represents a contingent right to receive 1 share of the Issuer's Common Stock upon vesting and settlement for no consideration.
