Explanation of Responses:

1. 50,000 shares represent restricted stock granted on June 25, 2020, prior to the Reporting Person's appointment as Chief Financial Officer. Twenty-five percent (25%) of this restricted stock will vest on June 25, 2021, and the remainder will vest in equal quarterly installments beginning on September 25, 2021.
