Explanation of Responses:

1. On February 24, 2017, pursuant to the Employment Agreement dated November 14, 2016, by and between the Company and the Reporting Person, and under the Company's 2008 Omnibus Long-Term Incentive Plan, the Company issued the Reporting Person 2,500 shares of the Company's common stock, par value $0.001 per share, with immediate vesting, as the first tranche of annual equity payments to be made to the Reporting Person in connection with his employment as the Chief Financial Officer of the Company.
