Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

On January 21, 2016 the Board of Directors (the Board) of Silicon Graphics International Corp. (the Company) appointed Kirsten Wolberg a member of the Company's Board. The Company issued a press release regarding Ms. Wolberg's appointment January 21, 2016. A copy of the press release is attached as Exhibit 99.1 to this Current Report and is incorporated herein by reference.

In connection with her appointment, Ms. Wolberg will be granted a restricted stock unit award with a grant date fair value of $120,000, calculated by dividing $120,000 by the 60-day average closing price of the Company's common stock for the 60 calendar days up to and including her date of appointment. The award will vest in full upon the earlier of the 2016 Annual Meeting of Stockholders or one year from the date of grant, subject to her continuous service to the Company. As part of her compensation, Ms. Wolberg also will receive the Company's standard annual cash retainers for her Board participation and for any Board committees on which she serves.
