Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 15, 2011, Silicon Graphics International Corp. (the “Company”) filed a Current Report on Form 8-K reporting that Mark J. Barrenechea would resign as the Company's President and Chief Executive Officer and as a member of the Company’s Board of Directors (the “Board”), effective January 1, 2012. On December 27, 2011, the Company issued a press release announcing that Mr. Barrenechea had agreed, at the request of the Board, to continue to serve as a director and to not tender his resignation from the Board in connection with his resignation as an officer. A copy of this press release is filed herewith as Exhibit 99.1.
