Dresser-Rand Announces Pricing of Senior Notes Offering
HOUSTON, March 10, 2011 /PRNewswire/ -- Dresser-Rand Group Inc. ("Dresser-Rand") (NYSE: DRC) announced today it has priced its offering of $375 million in aggregate principal amount of 6.5% Senior Subordinated Notes due 2021 (the "Notes"). The offering of the Notes is expected to close on March 22, 2011, subject to certain closing conditions.
Dresser-Rand intends to use the net proceeds from the offering to fund the previously announced cash tender offer for any and all of its outstanding 7-3/8% Senior Subordinated Notes due November 1, 2014 or otherwise purchase or redeem such notes.
The Notes will not be registered under the Securities Act of 1933, as amended (the "Securities Act"), and may not be offered or sold in the United States absent such registration or an exemption from the registration requirements of the Securities Act and any other applicable securities laws.
