Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
This Form 8-K/A amends the Form 8-K filed by the Federal Home Loan Bank of San Francisco (Bank) on October 27, 2022, to add information about the compensation relating to Gregory A. Ward's role as Executive Vice President and Chief Operating Officer (“COO”). Mr. Ward’s compensation as the COO was subject to the review of the Bank’s regulator, the Federal Housing Finance Agency (“Finance Agency”). On November 8, 2022, the Bank received a non-objection from the Finance Agency to the Bank’s compensation for the COO. As COO, Mr. Ward’s annual base salary will be $530,000. Mr. Ward will continue to be a participant in the Bank’s Executive Incentive Plan (“EIP”) and will be eligible for awards under the EIP as COO on a pro rata basis for 2022. Mr. Ward will also continue to be a participant in the Bank’s Supplemental Executive Retirement Plan and subject to the Corporate Senior Officer Severance Policy.
