Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(e) On May 7, 2024, the Federal Housing Finance Agency (Finance Agency) informed the Bank of its non-objection to the Board-approved Special Award to its Chief Operating Officer (COO) Gregory Ward under the Bank’s Supplemental Executive Retirement Plan (SERP) in the aggregate amount of $359,050 to be paid in 2025 and 2026. The Board granted the Special Award to Mr. Ward to assist in the retention of his services necessary for the transition to a new chief executive officer. Under Mr. Ward’s Special Award, and subject to certain vesting requirements, the amount of the Bank’s special contribution credits under the SERP will be as follows: $159,000 tranche 1 to be credited on April 1, 2025; $168,540 tranche 2A to be credited on April 1, 2026; and $31,510 tranche 2B to be credited on April 1, 2026. For additional information about the Bank’s SERP, see the Bank’s Annual Report on Form 10-K filed with the Securities and Exchange Commission on March 8, 2024.
