Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On July 30, 2024, ITC Holdings Corp. (the “Company”) entered into a retention award letter agreement (the “Letter Agreement”) with Gretchen Holloway, Senior Vice President and Chief Financial Officer of the Company. Under the terms of the Letter Agreement, on August 1, 2024, Ms. Holloway will be granted a retention award consisting of Fortis Inc. restricted share units with an aggregate value of approximately $600,000, of which fifty percent (50%) will vest on the third anniversary of the date of the grant and fifty percent (50%) will vest on the fourth anniversary of the date of the grant, subject to continued employment with the Company.
