Item 2.02. Results of Operations and Financial Condition.
On May 7, 2015 Core-Mark Holding Company, Inc. (the “Company”) issued a press release announcing its results of operations for the three months ended March 31, 2015. The text of the press release issued by the Company is furnished as Exhibit 99.1.
Item 8.01. Other Events.
The Company's May 7, 2015 press release also announced that its Board of Directors has approved a $0.13 cash dividend per common share. The dividend is payable on June 15, 2015 to stockholders of record as of the close of business on May 22, 2015.
